WHEREAS, the Village of Barrington, Cook and Lake Counties, Illinois (the âVillageâ) is an Illinois Home Rule municipal corporation; and
WHEREAS, 201 S. Grove, LLC (the âSellerâ) is the owner of certain real estate consisting of three (3) separate parcels located within the Village of Barrington collectively and commonly known as 104 S. Cook Street (P.I.N. 01-01-107-001), 206 S. Cook Street (P.I.N. 01-01-112-003), 304 S. Summit Street (P.I.N. 01-01-112-001) (hereafter collectively referred to as the âSubject Propertyâ) which Subject Property is depicted on Sheet 4 of the Cemcon, Ltd. Plat of Survey last revised March 6, 2019 and attached hereto as Exhibit A and thereby made a part hereof, and which is legally described as follows:
A TRIANGULAR PIECE OF LAND LOCATED IN THE EAST HALF OF THE NORTHEAST QUARTER OF THE NORTHWEST QUARTER OF SECTION 1, TOWNSHIP 42 NORTH, RANGE 9, EAST OF THE THIRD PRINCIPAL MERIDIAN IN THE VILLAGE OF BARRINGTON, COOK COUNTY, ILLINOIS BOUNDED ON THE SOUTH BY THE NORTH LINE OF LAKE STREET, ON THE WEST BY THE EAST LINE OF SPRING STREET AND ON THE NORTHEAST BY THE SOUTHWEST LINE OF RAILROAD STREET (NOW PARK AVENUE).

(3) P.I.N. 01-01-112-001: Commonly known as 304 N. Summit Street, Barrington, IL, containing 53,361 square feet, more or less
(hereinafter collectively referred to as the âSubject Propertyâ); and
WHEREAS, the Village desires to purchase the Subject Property from the Seller for a purchase price of Two Hundred Thousand Dollars ($200,000.00) pursuant to certain conditions; and
WHEREAS, the Seller desires to sell and transfer the Subject Property to the Village, and the Corporate Authorities of the Village desire to authorize said purchase; and
WHEREAS, the Corporate Authorities of the Village have determined that it is necessary and/or convenient and in the best interests of the Village and its residents that the Village purchase the Subject Property, which is wholly located within the corporate boundaries of the Village, as contemplated herein; and
WHEREAS, the 201 S. Grove Condominium Association, whose address is 201 S. Grove Avenue, Barrington, IL 60010 (hereinafter the âCondominium Associationâ) is the owner of certain real property commonly known as portions of 201 S. Grove Avenue, Barrington, Illinois, and identified as Permanent Index Nos. 01-01-106-001-0000, 01-01-106-003-0000, 01-01-106-004-0000, 01-01-106-005-0000, 01-01-106-006-0000, 01-01-106-007-0000, 01-01-106-008-0000 (the âCondominium Association Parcelâ), which located directly adjacent to the Subject Property; and
WHEREAS, the Condominium Association Parcel is subject to Village of Barrington Ordinance No. 2020-4137, an Ordinance Approving an Amended and Restated Special Use for a Business Planned Development (the âPlanned Development Ordinanceâ), which Ordinance provides, among other things, that the Condominium Association is required to satisfy certain parking requirements, which parking requirements were satisfied pursuant to the provisions of a certain Parking Easement Agreement which was recorded with the Cook County Clerk/Recording Division as Document No. 2035834103 on the title to the Subject Property for the benefit and use of the Condominium Association Parcel; and
WHEREAS, there has been negotiated an Agreement between 201 S. Grove, LLC as the Seller and the Village of Barrington as the Purchaser for the Villageâs purchase of the Subject Property (the âSale and Purchase Agreementâ), a copy of which Sale and Purchase Agreement is attached hereto as Exhibit B and thereby made a part hereof; and
WHEREAS, as a condition precedent to the Villageâs acquisition of the Subject Property, the Village requires that said Parking Easement Agreement be abrogated and of no further force and/or effect; and
WHEREAS, in consideration of the fact that the parking lot located on the Subject Property has been and is currently being utilized by members, employees, guests, and invitees of the Condominium Association, as a condition precedent to the Villageâs acquisition of Subject Property, there has been negotiated by and between the Village and the Condominium Association a certain âParking Lot Facility Agreement By and Between the Village of Barrington and 201 S. Grove Condominium Associationâ, a copy of which Parking Lot Facility Agreement is attached hereto as Exhibit C and thereby made a part hereof (the âParking Lot Facility Agreementâ), which, in brief summary, provides, among other things, that: (1) the Parking Easement Agreement recorded with the Cook County Clerk/Recording Division as Document No. 2035834103 shall be abrogated and of no further force or effect, (2) the Village will allocate one hundred six (106) parking spaces within the parking lot on the Subject Property to the Condominium Association for use by the Association and its members, employees, guests, and invitees, and (3) the Village will sell to the Condominium Association a corresponding number of Employer/Employee parking permits for said 106 parking spaces in order to satisfy the off-site parking requirements of the aforesaid Planned Development Ordinance; and
WHEREAS, the Corporate Authorities of the Village have determined that in order to effect the Villageâs purchase of the Subject Property, it is in the best interests of the Village and of its residents that said Sale and Purchase Agreement and the related Parking Lot Facility Agreement be approved, executed and in effect:
NOW THEREFORE, BE IT ORDAINED by the President and Board of Trustees of the Village of Barrington, Cook and Lake Counties, Illinois, in exercise of the authority of this Village as a Home Rule unit, as follows:
SECTION 1: The President and Board of Trustees of the Village hereby find that the recitals hereinabove set forth are true and correct and are incorporated into the text of this Ordinance as findings of fact to the same extent as if such recitals had been set forth herein in their entirety.
SECTION 2: The Corporate Authorities of the Village hereby declare that it is necessary and/or convenient for the Village to purchase the Subject Property from 201 S. Grove, LLC (âSellerâ) and to acquire the Subject Property for all municipal purposes and hereby approve and authorize the purchase by and transfer to the Village of the Subject Property, and to enter into the related Parking Lot Facility Agreement with 201 S. Grove Condominium Association.
SECTION 3: By this Ordinance which has been or shall be approved by a vote of 2/3 of the members of the Corporate Authorities of the Village then holding office, said Corporate Authorities of the Village hereby authorize the purchase by and transfer to the Village of all of the right, title and interest of 201 S. Grove, LLC in and to the Subject Property, which consists of three (3) separate parcels located within the corporate limits of the Village which are identified as follows:
(1) P.I.N. 01-01-107-001: Commonly known as 104 S. Cook Street, Barrington, IL, containing 749 square feet, more or less;
(2) P.I.N. 01-01-112-003: Commonly known as 206 S. Cook Street, Barrington, IL, containing 4,322.34 square feet, more or less; and
(3) P.I.N. 01-01-112-001: Commonly known as 304 N. Summit Street, Barrington, IL, containing 53,361 square feet, more or less
upon such terms and conditions as agreed upon by the respective Corporate Authorities of the Village and the Seller as set forth in the Sale and Purchase Agreement, a copy of which Sale and Purchase Agreement is attached hereto as Exhibit B and thereby made a part hereof, and the Corporate Authorities of the Village have by this Ordinance authorized the execution by its Village President and attestation by its Village Clerk of such Sale and Purchase Agreement for the purchase by and transfer of the Subject Property from the Seller to the Village.
SECTION 4: By this Ordinance, the Corporate Authorities of the Village do hereby also authorize the Village to enter into the Parking Lot Facility Agreement with 201 S. Grove Condominium Association, a copy of which Parking Lot Facility Agreement is attached hereto as Exhibit C and thereby made a part hereof, and the Corporate Authorities of the Village have by this Ordinance authorized the execution by its Village President and attestation by its Village Clerk of such Parking Lot Facility Agreement.
SECTION 5: The Corporate Authorities of the Village hereby approve and authorize the acquisition of the Subject Property by the Village from the Seller and the execution of said Sale and Purchase Agreement, and the Village President is hereby authorized to execute and the Village Clerk is hereby authorized to attest said Sale and Purchase Agreement, and the Village President is further authorized to execute and the Village Clerk is authorized to attest all documents which may be required to effect the Villageâs purchase of the Subject Property and to take all other action(s) as may be necessary or advisable and to make all required payments necessary or advisable for the completion of the Villageâs acquisition of the Subject Property from 201 S. Grove, LLC at a purchase price of Two Hundred Thousand Dollars ($200,000.00), plus or minus credits and prorations, pursuant to the terms and conditions of such Sale and Purchase Agreement.
SECTION 6: If any section, subsection, paragraph, sentence, clause or phrase of this Ordinance or any part thereof is, for any reason, held to be unconstitutional or invalid or ineffective by any court of competent jurisdiction, such decision shall not affect the validity or effectiveness of the remaining portions of this Ordinance, or any part thereof. The Corporate Authorities of the Village hereby declare that they would have passed each section, subsection, subdivision, paragraph, sentence, clause or phrase thereof irrespective of the fact that any one or more sections, subsections, subdivisions, paragraphs, sentence, clauses or phrases be declared unconstitutional, invalid or ineffective.
SECTION 7: This Ordinance shall be in full force and effect from and after its passage by a vote of at least two-thirds (2/3) of the Corporate Authorities of the Village now holding office (five votes required), and by its approval and publication, all in the manner as required by law.
SECTION 8: The Corporate Authorities of the Village do hereby exercise the Villageâs Home Rule Authority to waive, vary, cure and/or otherwise remove any procedural defect or technical deficiency in the proceedings relative to the adoption of this Ordinance and/or the Villageâs acquisition of the Subject Property.
SECTION 9: The Village Clerk is directed to immediately publish this Ordinance twice in a newspaper of general circulation in the Village within thirty (30) days after its passage.
PASSED THIS 14 DAY OF APRIL, 2025, BY A TWO-THIRDS (2/3) VOTE (FIVE VOTES REQUIRED) OF THE CORPORATE AUTHORITIES OF THE VILLAGE THEN HOLDING OFFICE BY ROLL CALL VOTE.

Grove Condominium Associationâ, a copy of which Parking Lot Facility Agreement is attached hereto as Exhibit C and thereby made a part hereof (the âParking Lot Facility Agreementâ), which, in brief summary, provides, among other things, that: (1) the Parking Easement Agreement recorded with the Cook County Clerk/Recording Division as Document No. 2035834103 shall be abrogated and of no further force or effect, (2) the Village will allocate one hundred six (106) parking spaces within the parking lot on the Subject Property to the Condominium Association for use by the Association and its members, employees, guests, and invitees, and (3) the Village will sell to the Condominium Association a corresponding number of Employer/Employee parking permits for said 106 parking spaces in order to satisfy the off-site parking requirements of the aforesaid Planned Development Ordinance; and
WHEREAS, the Corporate Authorities of the Village have determined that in order to effect the Villageâs purchase of the Subject Property, it is in the best interests of the Village and of its residents that said Sale and Purchase Agreement and the related Parking Lot Facility Agreement be approved, executed and in effect:
NOW THEREFORE, BE IT ORDAINED by the President and Board of Trustees of the Village of Barrington, Cook and Lake Counties, Illinois, in exercise of the authority of this Village as a Home Rule unit, as follows:
SECTION 1: The President and Board of Trustees of the Village hereby find that the recitals hereinabove set forth are true and correct and are incorporated into the text of this Ordinance as findings of fact to the same extent as if such recitals had been set forth herein in their entirety.
SECTION 2: The Corporate Authorities of the Village hereby declare that it is necessary and/or convenient for the Village to purchase the Subject Property from 201 S. Grove, LLC (âSellerâ) and to acquire the Subject Property for all municipal purposes and hereby approve and authorize the purchase by and transfer to the Village of the Subject Property, and to enter into the related Parking Lot Facility Agreement with 201 S. Grove Condominium Association.
SECTION 3: By this Ordinance which has been or shall be approved by a vote of 2/3 of the members of the Corporate Authorities of the Village then holding office, said Corporate Authorities of the Village hereby authorize the purchase by and transfer to the Village of all of the right, title and interest of 201 S. Grove, LLC in and to the Subject Property, which consists of three (3) separate parcels located within the corporate limits of the Village which are identified as follows:
(1) P.I.N. 01-01-107-001: Commonly known as 104 S. Cook Street, Barrington, IL, containing 749 square feet, more or less;
(2) P.I.N. 01-01-112-003: Commonly known as 206 S. Cook Street, Barrington, IL, containing 4,322.34 square feet, more or less; and
(3) P.I.N. 01-01-112-001: Commonly known as 304 N. Summit Street, Barrington, IL, containing 53,361 square feet, more or less
upon such terms and conditions as agreed upon by the respective Corporate Authorities of the Village and the Seller as set forth in the Sale and Purchase Agreement, a copy of which Sale and Purchase Agreement is attached hereto as Exhibit B and thereby made a part hereof, and the Corporate Authorities of the Village have by this Ordinance authorized the execution by its Village President and attestation by its Village Clerk of such Sale and Purchase Agreement for the purchase by and transfer of the Subject Property from the Seller to the Village.
SECTION 4: By this Ordinance, the Corporate Authorities of the Village do hereby also authorize the Village to enter into the Parking Lot Facility Agreement with 201 S. Grove Condominium Association, a copy of which Parking Lot Facility Agreement is attached hereto as Exhibit C and thereby made a part hereof, and the Corporate Authorities of the Village have by this Ordinance authorized the execution by its Village President and attestation by its Village Clerk of such Parking Lot Facility Agreement.
SECTION 5: The Corporate Authorities of the Village hereby approve and authorize the acquisition of the Subject Property by the Village from the Seller and the execution of said Sale and Purchase Agreement, and the Village President is hereby authorized to execute and the Village Clerk is hereby authorized to attest said Sale and Purchase Agreement, and the Village President is further authorized to execute and the Village Clerk is authorized to attest all documents which may be required to effect the Villageâs purchase of the Subject Property and to take all other action(s) as may be necessary or advisable and to make all required payments necessary or advisable for the completion of the Villageâs acquisition of the Subject Property from 201 S. Grove, LLC at a purchase price of Two Hundred Thousand Dollars ($200,000.00), plus or minus credits and prorations, pursuant to the terms and conditions of such Sale and Purchase Agreement.
SECTION 6: If any section, subsection, paragraph, sentence, clause or phrase of this Ordinance or any part thereof is, for any reason, held to be unconstitutional or invalid or ineffective by any court of competent jurisdiction, such decision shall not affect the validity or effectiveness of the remaining portions of this Ordinance, or any part thereof. The Corporate Authorities of the Village hereby declare that they would have passed each section, subsection, subdivision, paragraph, sentence, clause or phrase thereof irrespective of the fact that any one or more sections, subsections, subdivisions, paragraphs, sentence, clauses or phrases be declared unconstitutional, invalid or ineffective.
SECTION 7: This Ordinance shall be in full force and effect from and after its passage by a vote of at least two-thirds (2/3) of the Corporate Authorities of the Village now holding office (five votes required), and by its approval and publication, all in the manner as required by law.
SECTION 8: The Corporate Authorities of the Village do hereby exercise the Villageâs Home Rule Authority to waive, vary, cure and/or otherwise remove any procedural defect or technical deficiency in the proceedings relative to the adoption of this Ordinance and/or the Villageâs acquisition of the Subject Property.
SECTION 9: The Village Clerk is directed to immediately publish this Ordinance twice in a newspaper of general circulation in the Village within thirty (30) days after its passage.
PASSED THIS 14 DAY OF APRIL, 2025, BY A TWO-THIRDS (2/3) VOTE (FIVE VOTES REQUIRED) OF THE CORPORATE AUTHORITIES OF THE VILLAGE THEN HOLDING OFFICE BY ROLL CALL VOTE.
